Understanding Florida filings.

Every Florida business — LLCs, corporations, partnerships — is required to file certain paperwork with the state each year. Missing those requirements has consequences.

The annual report
Florida requires every active business entity to file an annual report between January 1 and May 1 each year. The report confirms your business's current information — addresses, registered agent, officers — with the Division of Corporations. Filing late incurs a $400 state penalty on every entity type except nonprofit corporations, which Florida exempts. Failing to file by the state's September deadline — September 25, 2026 this year — results in administrative dissolution.
Administrative dissolution
If your business is administratively dissolved by the state, it loses its active status — meaning it can no longer legally enter contracts, hold licenses, or operate in the entity's name. Florida allows reinstatement for up to ten years after dissolution, but the process requires filing missed annual reports along with the reinstatement paperwork.
Registered agents
Florida requires every business entity to designate a registered agent with a Florida street address to receive official state correspondence and legal notices. Many owners serve as their own registered agent, but this puts their personal address on public records and creates risk of missing important notices.

No. SunFile is a private filing assistance service and is not affiliated with, endorsed by, or contracted by the Florida Division of Corporations, the Florida Department of State, or any government agency. You may file directly at sunbiz.org at a lower cost.
How do I find my Florida document number? +
Your document number was assigned when your entity was originally filed with the Florida Division of Corporations. It's a 6- or 12-character alphanumeric code — LLCs typically start with "L," corporations with "P." If you can't find yours, email us at hello@sunfilefl.org and we'll help you locate it.
What if my business is already dissolved? +
If Florida administratively dissolved your business within the last ten years, you can file a reinstatement to return it to active status. Enter your document number in the status check at the top of this page — we'll pull your record from the state, confirm whether you're eligible, and show you your exact total. Dissolved more than ten years ago? That route still exists, but it isn't online — email us and we'll help.
How long does filing take? +
Most filings are submitted to the Florida Division of Corporations within two to three business days of confirmed payment. State processing then takes an additional one to three business days for annual reports. Reinstatements filed more than one year after dissolution require a 2–3 business day name-availability review by the state.
What's your refund policy? +
If your filing was already on file with the state, we refund everything you paid to your original payment method — no explanation required. If we make an error, we correct it and re-file at no additional cost to you. Refunds typically appear within 5–10 business days, depending on your bank. Full details are in our Terms of Service.
Do you handle other states? +
Not currently. SunFile is focused exclusively on Florida filings. We're evaluating expansion to other states but have no active timeline to announce.
