Because your entity was dissolved more than a year ago, Florida reviews your business name before approving reinstatement — a routine two-to-three business day check. On the rare chance another business claimed your name during the gap, we'll refund you in full or help you choose a new name and file under that. Either way, you're made whole.

That's why there's no single sticker price. The total is the state's fees plus our work to prepare and file — and you'll see the full amount before you pay anything.
My business was voluntarily closed — can I reinstate it? +
No. If a business filed its own Articles of Dissolution to close deliberately, Florida treats that as permanent and reinstatement isn't available. To operate again you'd typically form a new entity. We don't offer formation yet, but we're happy to point you toward it — just email us.
It's been more than ten years. Is it too late? +
Online reinstatement is limited to a ten-year window. Past that, it may still be possible by contacting the Florida Department of State directly. Email us your situation and we'll help you figure out whether reinstating the old entity or forming a new one makes more sense.
What if my business name was taken while I was dissolved? +
For entities dissolved over a year, Florida reviews name availability before approving, and we check it first. If your name was claimed by someone else during the gap, we refund you in full or help you choose and file under a new name. You're made whole either way.
How long does it take? +
We submit within two to three business days of confirmed payment. Florida then processes the reinstatement, which typically takes a few business days, after which your entity shows as active again. If a name review applies, add two to three business days for that step.
How do I keep this from happening again? +
The annual report is due every year between January 1 and May 1, and missing it is what leads to dissolution. Once you're active again, our Annual Filing Subscription files it for you each January for $249 a year, state fee included, so you don't have to track it.
